1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you ("Client," "User," or "You") and the operators of the service known as ChatVector ("Provider," "we," "us," or "our").

By registering for an account, accessing, or using the ChatVector platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, business, or other legal entity (such as an Agency), you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

ChatVector is a software-as-a-service (SaaS) platform that provides attribution data by linking Google Ads click identifiers (GCLIDs) with WhatsApp conversation data. The Service allows users to track, qualify, and upload offline conversion events to third-party advertising platforms.

Beta Notice: You acknowledge that the Service is currently in a "Public Beta" phase. We do not guarantee that the Service will be error-free, uninterrupted, or fully compatible with all third-party platforms at all times.

3. User Obligations and Restrictions

3.1. Acceptable UseYou agree to use the Service only for legitimate business purposes. You are strictly prohibited from using the Service to:

• Send unsolicited mass messages ("spam") via WhatsApp.
• Violate the WhatsApp Business Policy, WhatsApp Commerce Policy, or Google Ads Policies.
• Harass, intimidate, or violate the privacy rights of any individual.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.

3.2. Platform IndependenceChatVector is an independent tool that integrates with Google Ads and WhatsApp (Meta). We are not affiliated, associated, authorized, endorsed by, or in any way officially connected with Google LLC or Meta Platforms, Inc.

• Risk of Ban: You acknowledge that you are solely responsible for complying with the terms of service of Google and WhatsApp. We are not liable if your advertising accounts or WhatsApp numbers are suspended, banned, or restricted due to your activities.

4. Agency and Client Management

If you use the Service as an Agency managing third-party accounts ("Clients"):

• You represent and warrant that you have obtained all necessary permissions and consents from your Clients to connect their accounts to ChatVector.
• You agree that you are fully responsible for all activity that occurs under your account, including the actions of your Clients who are granted access to the Service.

5. Intellectual Property

• Our Rights: All rights, title, and interest in and to the Service (including our code, algorithms, designs, and documentation) remain the exclusive property of the Provider.
• Your Data: You retain all ownership rights to the data (including customer phone numbers and conversion data) that you process through the Service. You grant us a limited license to process this data solely to provide the Service to you.

6. Subscription and Billing (Merchant of Record)

6.1. ResellerOur order process is conducted by our online reseller, Lemon Squeezy. Lemon Squeezy is the Merchant of Record for all our orders. Usage of the checkout page, payment processing, and tax collection is subject to Lemon Squeezy's Terms of Service and Privacy Policy.

6.2. Fees and TaxesAll fees are exclusive of taxes (such as VAT or GST). Lemon Squeezy serves as the reseller and is responsible for collecting and remitting these taxes based on your location.

6.3. Refunds and Cancellation

• Free Trial: We may offer a 14-day free trial. You may cancel your trial at any time before it expires to avoid being charged.
• No Refunds: Payments are non-refundable, except where required by applicable law.
• Cancellation: You may cancel your subscription at any time via the billing portal provided by Lemon Squeezy.

7. Disclaimers and Limitation of Liability

7.1. Disclaimer of WarrantiesTHE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2. ROI DisclaimerWe provide attribution data to assist in your marketing decisions. We do not guarantee any specific financial results, Return on Ad Spend (ROAS), or increase in sales.

7.3. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.

7.4. Liability CapOUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Provider and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: (i) your access to or use of the Service; (ii) your violation of these Terms; or (iii) your violation of any third-party right, including any Google or WhatsApp policy.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Mauritius.Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mauritius. You expressly waive any objection to this jurisdiction based on venue or inconvenient forum.
